Asaqeni User Agreement

1. Introduction

Welcome to Asaqeni ("Platform"), an online marketplace connecting buyers ("Buyers") and suppliers ("Suppliers") for sourcing needs. This User Agreement ("Agreement") outlines the terms and conditions governing your use of the Platform. By accessing or using the Platform, you agree to be bound by this Agreement.

2. Definitions

Account: Refers to a user profile created on the Platform.
Content: Includes all information displayed on the Platform, such as product listings, descriptions, and user profiles.
Services: Encompass all functionalities offered by the Platform, including facilitating communication and transactions between Buyers and Suppliers.

3. User Eligibility

The Platform is intended for users who are 18 years of age or older and have the legal capacity to enter into binding contracts.

4. Account Creation and Management

Users are required to create an account to access certain features of the Platform.
You are responsible for maintaining the accuracy and confidentiality of your account information.
You agree not to share your account credentials with anyone.

5. User Conduct

You agree to use the Platform for lawful purposes only.

You are prohibited from:

Uploading or transmitting any content that is false, misleading, defamatory, obscene, or infringes on intellectual property rights.
Engaging in fraudulent or deceptive practices.
Disrupting the Platform's functionality or engaging in any form of hacking or unauthorized access.
Harassing or abusing other users.
Violating any applicable laws or regulations.

6. Buyer and Seller Responsibilities

Buyers:

Must accurately represent their requirements and payment capabilities.
Are responsible for fulfilling agreed-upon purchase terms.

Suppliers:

Must provide accurate product or service descriptions and pricing.
Are responsible for delivering on promised quality and timelines.
Should clearly outline return and exchange policies.

7. Payment Processing

Asaqeni may or may not facilitate payments on the Platform (depending on your chosen model). Please refer to our specific Payment Terms Policy for details.
Regardless of the payment method, Buyers and Sellers are responsible for completing transactions according to agreed-upon terms.

8. Intellectual Property

Asaqeni owns the intellectual property rights to the Platform and its content. Users are granted a non-exclusive, revocable license to access and use the Platform in accordance with this Agreement.

9. Dispute Resolution

Asaqeni encourages Buyers and Sellers to resolve disputes directly.
Asaqeni may offer a dispute resolution process in its sole discretion.
You agree to cooperate with any dispute resolution process offered by Asaqeni.

10. Termination

Asaqeni may terminate your account for any violation of this Agreement or any other reason, with or without notice.

11. Disclaimer

Asaqeni does not guarantee the accuracy or completeness of any Content uploaded or transmitted on the Platform. You use the Platform at your own risk.

12. Limitations of Liability

Asaqeni shall not be liable for any direct, indirect, incidental, consequential, or punitive damages arising out of or related to your use of the Platform.

13. Indemnification

You agree to indemnify and hold harmless Asaqeni, its officers, directors, employees, and agents from any and all claims, losses, damages, and expenses (including attorneys' fees) arising out of or related to your use of the Platform or violation of this Agreement.

14. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Zimbabwe.

15. Entire Agreement

This Agreement constitutes the entire agreement between you and Asaqeni regarding your use of the Platform.

16. Amendments

Asaqeni may amend this Agreement at any time by posting the amended version on the Platform. Your continued use of the Platform after the amended Agreement is posted constitutes your acceptance of the amendments.

17. Severability

If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force and effect.

18. No Waiver

No waiver of any provision of this Agreement by Asaqeni shall be deemed a further or continuing waiver of such provision or any other provision.

20. By Using Asaqeni

By using Asaqeni, you acknowledge that you have read, understood, and agree to be bound by all terms and conditions of this Agreement.
